1. Acceptance of Terms

By accessing or using Hookin's services ("Services"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using our Services. These Terms constitute a legally binding agreement between you and Hookin.

2. Description of Services

Hookin provides a platform for creating playable advertisements and video content, including:

• AI-powered playable ad generation
• Video editing and creation tools
• Asset management and storage
• Multi-platform export capabilities (Google, Meta, Unity, TikTok, AppLovin, and others)
• Project collaboration features

3. Account Registration

To use our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

You must be at least 16 years old (or 13 in the United States with parental consent) to create an account and use our Services.

4. Subscription Plans and Pricing

Hookin offers the following subscription tiers:

• Free: Limited features and usage credits
• Pro: Enhanced features, increased credits, priority support
• Max: Full access to all features, maximum credits, dedicated support

Current pricing is available on our website. Prices are subject to change with 30 days' notice to existing subscribers.

5. Billing and Payment

Payment processing is handled by LemonSqueezy. By subscribing to a paid plan, you agree to the following:

• Billing Cycle: Subscriptions are billed monthly or annually, depending on your selection
• Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled
• Payment Method: You authorize us to charge your selected payment method for all applicable fees
• Failed Payments: If payment fails, we may suspend your access until payment is resolved
• Taxes: Prices may be exclusive of applicable taxes, which will be added at checkout

6. Credits System

Our platform operates on a credit-based system for certain features:

• Credits are allocated based on your subscription tier
• Credits are consumed when using AI generation features and exports
• Unused credits may expire at the end of each billing cycle (see your plan details)
• Additional credits can be purchased separately
• Credits are non-transferable and have no cash value

7. Cancellation and Refunds

Cancellation:

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• You will retain access to paid features until the end of your billing period
• Upon cancellation, your account will revert to the Free tier

Refunds:

• Monthly subscriptions are generally non-refundable
• Annual subscriptions may be eligible for a prorated refund within 14 days of purchase or renewal
• Credit purchases are non-refundable once credits have been used
• Refund requests should be submitted to billing@hookin.io

8. Content Ownership and License

Your Content:

• You retain all ownership rights to content you create or upload ("User Content")
• You grant Hookin a worldwide, non-exclusive license to host, store, display, and process your User Content solely to provide the Services
• This license terminates when you delete your content or account

AI-Generated Content:

• Content generated using our AI features belongs to you, subject to the limitations below
• You are responsible for ensuring AI-generated content does not infringe third-party rights
• AI outputs may be similar to content generated for other users due to the nature of AI
• We make no guarantees regarding the uniqueness or originality of AI-generated content

Hookin Content:

All Hookin branding, templates, software, and platform features remain our exclusive property. You may not copy, modify, distribute, or reverse engineer any part of our platform.

9. Acceptable Use Policy

You agree not to use our Services to:

• Create content that is illegal, harmful, threatening, abusive, defamatory, or obscene
• Generate content that infringes intellectual property rights of others
• Create misleading, fraudulent, or deceptive advertisements
• Produce content depicting violence, hate speech, or discrimination
• Generate sexually explicit or pornographic content
• Create content targeting or exploiting minors
• Violate advertising platform policies (Google, Meta, etc.)
• Attempt to bypass usage limits, manipulate credits, or abuse the system
• Interfere with or disrupt the Services or servers
• Use automated systems or bots without authorization
• Resell or redistribute access to our Services

We reserve the right to suspend or terminate accounts that violate this policy without refund.

10. Third-Party Platforms and Integrations

Our export features allow you to create content for third-party advertising platforms. You acknowledge and agree that:

• You are solely responsible for compliance with third-party platform policies (Google Ads, Meta Ads, Unity Ads, TikTok, AppLovin, etc.)
• Hookin does not guarantee that exported content will be approved by third-party platforms
• Third-party platforms may reject, remove, or restrict content at their discretion
• You are responsible for reviewing and adhering to each platform's advertising guidelines
• Hookin is not liable for any losses resulting from third-party platform decisions

11. Intellectual Property and DMCA

We respect intellectual property rights and expect users to do the same. If you believe content on our platform infringes your copyright, please submit a DMCA takedown notice to legal@hookin.io including:

• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location
• Your contact information (name, address, email, phone)
• A statement that you have a good faith belief the use is not authorized
• A statement under penalty of perjury that the information is accurate
• Your physical or electronic signature

We will respond to valid DMCA notices and may remove or disable access to infringing content. Repeat infringers may have their accounts terminated.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT

We do not guarantee that AI-generated content will be accurate, appropriate, or suitable for your intended purpose. You are responsible for reviewing and editing all content before use.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOKIN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages resulting from AI-generated content
• Any damages resulting from third-party platform rejections or policy violations
• Any damages exceeding the amount you paid to Hookin in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Hookin and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights, including intellectual property rights; or (e) your violation of any applicable laws or regulations.

15. Service Availability and Modifications

We strive to provide reliable access to our Services. However:

• We do not guarantee uninterrupted or error-free service
• We may modify, suspend, or discontinue features at any time
• Scheduled maintenance will be announced in advance when possible
• We are not liable for any service interruptions or modifications

16. Termination

We may suspend or terminate your account and access to Services immediately, without prior notice, if:

• You breach these Terms or our Acceptable Use Policy
• You fail to pay applicable fees
• We are required to do so by law
• We discontinue the Services

Upon termination, your right to use the Services ceases immediately. You may export your content before termination. We may delete your data 30 days after account termination.

17. Dispute Resolution and Arbitration

Informal Resolution: Before filing any claim, you agree to contact us at legal@hookin.io and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: Any disputes not resolved informally shall be resolved through binding arbitration, not in court, except that either party may bring claims in small claims court if eligible.

Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions, class arbitrations, or representative actions.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

19. Force Majeure

Hookin shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, riots, government actions, power outages, internet or telecommunications failures, pandemics, or third-party service provider failures.

20. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email and/or by posting a notice on our platform at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services and cancel your subscription.

21. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

22. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and Hookin regarding the Services and supersede all prior agreements, understandings, and communications, whether written or oral.

23. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Hookin to be effective.
